QBO Units – Terms of Service

By purchasing or using QBO Units, you agree to the following terms and conditions:

Nature of QBO Units
QBO Units are platform-specific digital tokens issued by QBO. They may be used solely to access compute-related functionality within the QBO ecosystem. QBO Units do not represent ownership of any product, compute instance, or infrastructure. -
Non-Refundable and Final
All purchases of QBO Units are non-refundable and final. Once purchased, QBO Units cannot be exchanged, returned, or refunded for cash or other forms of credit, regardless of usage. -
No Guarantee of Availability
QBO Units do not guarantee access to any specific compute resource (e.g. GPU model, number of CPUs, or network bandwidth). Compute access is subject to availability at the time of redemption and may vary based on system load, user configuration, and scheduling. -
Expiration
QBO Units do not expire and may be redeemed at any time while a cloud account is active and in good standing. For on-prem deployments, Units are valid only for the duration of the contract and expire when the term ends. -
Platform-Restricted Use
QBO Units are valid only within the QBO platform. They may not be redeemed outside the platform or used as a general-purpose currency. Units have no cash value outside of QBO. -
Limited Transferability
QBO Units may be transferred between authorized QBO accounts, subject to internal policy and compliance procedures. Units may not be resold, exchanged externally, or listed on public marketplaces. -
No Product or Service Entitlement
Purchasing QBO Units does not entitle the customer to any particular product, service, or service-level agreement. QBO Units are a mechanism for usage-based access to available compute resources, not a promise of future delivery. -
Usage and Breakage
QBO makes no commitment that purchased Units will be used. Unused Units will remain in your account until consumed or transferred. For on-prem deployments, Units must be used within the contracted term and will expire at the end of that period. QBO may, at its sole discretion, remove or limit unused Units in cases of account inactivity, fraud detection, or compliance violations. -
Accounting and Tax Treatment
QBO Units are treated as prepaid platform access and may be accounted for accordingly under applicable revenue recognition frameworks. No sales tax, VAT, or other surcharges are applied unless required by law. -
Limitation of Liability
QBO is not liable for any indirect, incidental, special, or consequential damages arising out of or related to the use or inability to use QBO Units, even if advised of the possibility of such damages. Total liability shall not exceed the amount paid for QBO Units during the 12 months preceding the claim. -
Modifications
QBO reserves the right to modify these terms at any time. Continued use of QBO Units after such modifications constitutes acceptance of the revised terms. -
Compliance
Use of QBO Units must comply with all applicable laws, export controls, and QBO’s Acceptable Use Policy. QBO may suspend or revoke access in cases of violation.
