QBO Units Terms of Service

Effective Date: Thu Jul 24 12:58:40 AM PDT 2025

By purchasing or using QBO Units, you agree to the following terms and conditions:

Nature of QBO Units

QBO Units are a standardized unit of platform licensing based on the underlying hardware profile (CPU, GPU, memory, storage, and network). QBO Units represent a fixed platform license tied to a defined hardware configuration and are not usage-based. QBO Units do not represent ownership of any physical hardware or infrastructure.

Non-Refundable and Final

All purchases of QBO Units are non-refundable and final. Once purchased, QBO Units cannot be exchanged, returned, or refunded for cash or other forms of credit.

Platform Scope and Availability

QBO operates on customer-provided or allocated infrastructure. Resource availability and performance are determined by the deployed hardware configuration. QBO does not guarantee access to specific third-party infrastructure beyond what is provisioned as part of the deployment.

Term and Expiration

QBO Units are valid for the duration of the contracted term.

For on-prem deployments, Units expire at the end of the contract term.
For QBO-managed cloud environments, Units remain valid while the account is active and in good standing, subject to the agreed service term.

Platform-Restricted Use

QBO Units are valid only within the QBO platform. They may not be redeemed outside the platform or used as a general-purpose currency. QBO Units have no cash value outside of QBO.

Limited Transferability

QBO Units may be transferred between authorized QBO accounts, subject to internal policy and compliance procedures. Units may not be resold, exchanged externally, or listed on public marketplaces.

Platform License Entitlement

Purchasing QBO Units entitles the customer to use the QBO platform on the configured hardware for the duration of the contract. QBO Units define the licensed capacity of the system and do not vary based on workload intensity or utilization.

Capacity Commitment

QBO Units represent committed platform capacity for the duration of the contract. Pricing remains fixed as long as the underlying hardware configuration remains unchanged. Changes to hardware configuration (e.g., adding GPUs, increasing memory, or modifying system specifications) may require adjustment of QBO Units.

Accounting and Tax Treatment

QBO Units are treated as prepaid platform licensing and may be accounted for accordingly under applicable revenue recognition frameworks. Taxes may be applied where required by law.

Limitation of Liability

QBO is not liable for any indirect, incidental, special, or consequential damages arising out of or related to the use of the platform. Total liability shall not exceed the amount paid for QBO Units during the 12 months preceding the claim.

Modifications

QBO reserves the right to modify these terms at any time. Continued use of QBO Units after such modifications constitutes acceptance of the revised terms.

Compliance

Use of QBO Units must comply with all applicable laws, export controls, and QBO’s Acceptable Use Policy. QBO may suspend or revoke access in cases of violation.
